1. GENERAL CONTEST TERMS

1.1. Applicability

These Official Rules (“Rules”) govern all contests, sweepstakes, giveaways, and prize promotions (collectively, “Contests” or individually, a “Contest”) conducted by TheMagazineCity.com, LLC (“Sponsor,” “we,” “us,” orour”).

Unless otherwise specified in a particular Contest’s specific rules, these Rules apply to all Contests.

1.2. Binding Agreement

By entering a Contest, you (“Entrant,” “you,” or “your”): – Agree to be bound by these Rules – Agree to be bound by any Contest-specific rules – Agree to Sponsor’s decisions, which are final and binding – Acknowledge these Rules constitute a binding legal agreement

2. ELIGIBILITY REQUIREMENTS

2.1. General Eligibility

To enter any Contest, you must:

Residency Requirement: – Be a legal resident of the fifty (50) United States or District of Columbia – Unless Contest-specific rules specify otherwise – International Contests will specify eligible countries

Verification: – Be able to provide proof of age and residency if requested – Be able to provide valid government-issued identification – Be able to provide a non-P.O. Box mailing address

2.2. Employee Restrictions

The following persons are NOT eligible to enter:

Ineligible Persons: – Employees of TheMagazineCity.com, LLC – Employees of Sponsor’s parent company – Employees of Sponsor’s affiliates and subsidiaries – Employees of Contest administrators (if applicable) – Employees of prize suppliers – Employees of advertising and promotional agencies involved in the Contest

Family Members: – Immediate family members of ineligible persons (spouse, parents, children, siblings) – Household members of ineligible persons (persons living in the same residence)

2.3. Additional Restrictions

You are NOT eligible if you: – Have been previously disqualified from any Sponsor Contest – Are subject to any legal restriction preventing Contest participation – Cannot comply with all Contest requirements – Are located in a jurisdiction where the Contest is void

2.4. One Entry Per Person

Unless otherwise specified: – Limit one entry per person per Contest – Limit one entry per email address per Contest – Limit one prize per person per Contest period – Multiple entries from the same person may result in disqualification

2.5. Compliance with Laws

By entering, you represent and warrant that: – Your entry complies with all applicable federal, state, and local laws – You have the legal capacity to enter into this agreement – All information you provide is true, accurate, and complete – You are not prohibited from participating by any legal restriction


3. HOW TO ENTER

SMS/Text Entry: – Text specified keyword to specified short code – Standard messaging rates apply – Confirm entry via return text message – Mobile carrier restrictions may apply

3.3. Entry Requirements

3.4. Automated Entry Prohibition

Strictly Prohibited: – Use of automated systems, bots, or scripts – Use of third-party entry services – Bulk or mass entry methods – Any attempt to circumvent entry restrictions

Consequences: – All entries from automated systems will be void – Entrants using prohibited methods will be disqualified – IP addresses may be blocked – Legal action may be taken

3.5. Entry Acknowledgment

No Confirmation: – Proof of submission is not proof of receipt – Sponsor is not responsible for lost, late, or misdirected entries – Technical problems do not extend entry deadlines

Authorized Account Holder: – Entries attributed to authorized account holder of email/social media account – “Authorized account holder” is the person assigned the address by the provider – May be required to prove authorized account holder status


4. ENTRY PERIOD AND DEADLINES

4.1. Contest Duration

Each Contest will specify: – Start date and time (Eastern Time unless otherwise stated) – End date and time (Eastern Time unless otherwise stated) – Entry period duration

Official Time: – Sponsor’s server time is the official timekeeping device – Entries submitted before start date/time are void – Entries submitted after end date/time are void

4.2. Multiple Entry Periods

Some Contests may have: – Daily entry periods – Weekly entry periods – Multiple prize drawings – Progressive entry limits

Separate Drawings: – Each entry period may have separate prizes – Winners selected from respective entry period entries – Entry limits apply per entry period

4.3. Entry Deadline Extensions

No Automatic Extensions: – Technical difficulties do not extend deadlines – Server problems do not extend deadlines – Natural disasters do not automatically extend deadlines

Sponsor Discretion: – Sponsor may extend deadlines in its sole discretion – Extensions will be posted on Contest page – No obligation to provide extensions


5. PRIZE INFORMATION

5.1. Prize Description

Each Contest will specify: – Complete prize description – Number of prizes available – Approximate Retail Value (ARV) of each prize – Total ARV of all prizes

Prize Components: – All prize components will be listed – Components may vary based on availability – Upgrades or downgrades may occur

5.2. Prize Values

Approximate Retail Value (ARV): – ARV represents Sponsor’s good faith determination – Based on retail prices at time of Contest announcement – Cannot be challenged or appealed – Actual value may be higher or lower than ARV

Valuation Differences: – If actual value is lower than ARV, no compensation for difference – If actual value is higher than ARV, no additional consideration from winner

5.3. Prize Restrictions

Non-Transferable: – Prizes cannot be transferred to another person – Prize cannot be assigned to another person – Prize must be accepted by winner

No Substitution: – Prizes cannot be substituted for cash – Cash equivalent not available – Prize exchanges not permitted

No Sale: – Prizes cannot be sold – Prizes cannot be auctioned – Commercial use prohibited without permission

5.4. Prize Substitution by Sponsor

Sponsor’s Right: – Sponsor may substitute prize of equal or greater value – Substitution at Sponsor’s sole discretion – Reasons include unavailability, discontinuation, or other circumstances

Notice: – Reasonable effort to notify winner of substitution – Substitute prize description provided – Winner may decline and forfeit prize

5.5. Prize Conditions

As-Is Basis: – Prizes awarded “as is” with no warranty – No warranty of merchantability – No warranty of fitness for particular purpose

Manufacturer Warranties: – Manufacturer warranties may apply – Contact manufacturer for warranty service – Sponsor not responsible for warranty claims

Third-Party Services: – Some prizes may include third-party services – Third-party terms and conditions apply – Sponsor not liable for third-party performance


6. WINNER SELECTION AND NOTIFICATION

6.1. Winner Selection Method

Winners will be selected by:

Random Drawing: – Computer-generated random selection – From all eligible entries received – Conducted by Sponsor or independent judging organization – Selection on or around date specified in Contest rules

Winner Must Respond: – Within timeframe specified in notification (typically 5-7 days) – Failure to respond results in forfeiture – Alternate winner may be selected

6.5. Alternate Winner Selection

Reasons for Alternate: – Winner does not respond within deadline – Winner cannot be contacted – Winner is ineligible – Winner does not comply with Rules – Prize notification returned as undeliverable

7. WINNER VERIFICATION AND CLAIM PROCESS

7.5. Disqualification for Non-Compliance

8.2. Delivery Requirements

Mailing Address: – Winner must provide valid, non-P.O. Box mailing address – U.S. addresses only (unless otherwise specified) – Address changes after initial submission may not be accommodated – Prize forfeited if address is invalid or undeliverable

Signature Required: – High-value prizes may require signature upon delivery – Winner responsible for being available to sign – Missed deliveries subject to carrier redelivery policies

8.3. Shipping and Handling

Sponsor Covers: – Standard shipping costs to winner’s address – Standard handling and packaging

Winner Responsible For: – International customs fees (if applicable) – Expedited shipping fees (if requested) – Delivery fees charged by carrier – Any special handling requests

8.4. Lost or Damaged Prizes

In Transit: – Sponsor not responsible for prizes lost or damaged in transit – Carrier liability policies apply – Winner should file claim with carrier

Upon Delivery: – Winner must inspect prize upon receipt – Report damage within 48 hours – Provide photographic evidence of damage

8.5. Unclaimed Prizes

Forfeiture: – If prize cannot be delivered after reasonable attempts – If winner does not claim prize within specified timeframe – No compensation provided for forfeited prizes

Disposition: – Unclaimed prizes remain property of Sponsor – May be awarded to alternate winner – May be retained or disposed of at Sponsor’s discretion


9. TAXES AND REPORTING

9.1. Tax Responsibility

Winner’s Obligation: – Winner solely responsible for all federal, state, and local taxes – Includes income taxes on prize value – Includes any other taxes or fees

No Tax Advice: – Sponsor does not provide tax advice – Consult tax professional regarding obligations – Tax treatment varies based on circumstances

9.2. Tax Reporting

IRS Form 1099:

For U.S. residents: – Form 1099-MISC issued for prizes valued at $600 or more – Based on Approximate Retail Value (ARV) – Mailed to winner by January 31 of following year – Copy filed with IRS

Required Information: – Winner must provide Social Security Number or Tax ID – W-9 form must be completed – Failure to provide results in disqualification

9.3. Non-U.S. Winners

International Tax Compliance: – Non-U.S. winners subject to applicable tax treaties – May require W-8BEN form – Withholding may apply per U.S. tax law – Winner responsible for home country tax obligations

12. DISQUALIFICATION AND PROHIBITED CONDUCT

12.1. Grounds for Disqualification

Automatic Disqualification:

Any of the following results in disqualification: – Violation of any Contest Rule – Fraudulent entry or activity – Tampering with entry process or Contest operation – Providing false information – Using prohibited entry methods – Attempting to circumvent Rules – Unsportsmanlike or disruptive conduct – Violation of any law or regulation

12.2. Fraudulent Activity

Zero Tolerance:

12.3. Prohibited Conduct

Social Media: – Hate speech or discriminatory content – Obscene or sexually explicit content – Violence or threats – Spam or commercial solicitation

12.4. Sponsor’s Discretion

Final Authority: – Sponsor has sole and final discretion to disqualify entrants – No obligation to provide reasons for disqualification – Decisions are final and not subject to appeal – No liability for disqualification

12.5. Legal Remedies

Right to Seek Damages: – Sponsor reserves right to seek damages from violators – To the fullest extent permitted by law – Including attorneys’ fees and costs – Criminal and civil remedies available


13. LIMITATION OF LIABILITY

13.1. Release of Liability

By entering, entrants agree to release and hold harmless:

13.2. Disclaimers

NO WARRANTIES:

Prizes are provided “AS IS” without warranty of any kind: – No warranty of merchantability – No warranty of fitness for particular purpose – No warranty regarding quality or suitability

Website and Technical Issues: – No warranty Website will be error-free or uninterrupted – No warranty entries will be received or processed – No responsibility for technical malfunctions

13.3. Limitations on Liability

No Liability For:

Released Parties not liable for: – Incorrect or inaccurate entry information – Human error in administration of Contest – Unauthorized human intervention in any part of Contest – Electronic or human error in selection or notification of winners – Technical failures (phone, network, computer, hardware, software) – Printing errors or typos in Contest materials – Lost, late, incomplete, damaged, or misdirected entries – Lost, late, or undeliverable mail – Interrupted or unavailable network, server, or connections – Miscommunications or failed computer transmissions – Injury or damage resulting from Contest participation or prize acceptance

13.4. Maximum Liability Cap

Damage Limitation: – Total liability of Released Parties shall not exceed $100 – Or the Approximate Retail Value of the prize, whichever is greater – This limitation applies regardless of theory of liability

13.5. Indemnification

Your Obligation:

You agree to indemnify and hold harmless Released Parties from: – Claims by third parties arising from your Contest participation – Claims arising from your violation of these Rules – Claims arising from your violation of any law or third party’s rights – Including reasonable attorneys’ fees and costs


14. DISPUTES AND GOVERNING LAW

14.1. Arbitration Agreement

MANDATORY ARBITRATION:

Except where prohibited by law, by entering you agree:

These Rules governed by: – Laws of the State of New York – Federal laws of the United States – Without regard to conflict of law principles – Excluding laws that would apply laws of other jurisdictions

Forum Selection:

Any dispute not subject to arbitration shall be resolved in: – State courts located in New York County, New York – Or United States District Court for Southern District of New York – You consent to personal jurisdiction in these courts

14.4. Statute of Limitations

20.2. Right to Cancel or Suspend

Sponsor may cancel, suspend, or modify Contest if: – Fraud or technical failures compromise integrity – Virus, bug, or unauthorized intervention occurs – Administration, security, or fairness compromised – Force majeure event occurs – Legal requirements demand cancellation – Any factor beyond Sponsor’s reasonable control

Effect: – Contest may be terminated without awarding prizes – Winners may be selected from eligible entries received before termination – Decisions at Sponsor’s sole discretion

20.3. Force Majeure

Excused Performance:

Sponsor not liable for failure to perform obligations due to: – Acts of God (natural disasters, weather events) – War, terrorism, or civil unrest – Government actions or regulations – Strikes or labor disputes – Pandemics or health emergencies – Technical failures beyond Sponsor’s control – Any other cause beyond reasonable control

20.4. Dispute Over Rules

Contest: Any sweepstakes, contest, giveaway, or prize promotion governed by these Rules.

Contest Period: Time period during which entries accepted (from start date/time to end date/time).

Entrant: Person who submits entry to Contest.

Entry: Submission meeting all Contest requirements.

Immediate Family: Spouse, parents, children, and siblings.

Released Parties: Sponsor and all affiliated entities, officers, directors, employees, and agents released from liability.

Rules: These Official Contest Rules and any Contest-specific rules.

Sponsor: TheMagazineCity.com, LLC, the entity conducting the Contest.

Winner: Person selected to receive prize and who completes all verification requirements.


APPENDIX B: PROHIBITED STATES AND RESTRICTIONS
